Please read these Terms of Use (“Terms”) carefully before accessing or using the website available at www.rscapital.com/ and related content, features, functionality, materials, communications, and services made available through them (collectively the “Site”), any applicable client portal, mobile application, electronic communication platform, or other online services provided by Robertson Stephens Wealth Management, LLC (“Robertson Stephens”, “we,” “us,” or “our”). By accessing or using the Site, you, as a user or visitor of the Site (“You” or “Your”), acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies, disclosures, or agreements incorporated herein by reference. If you do not agree with these Terms, you must not access or use the Site.
1. Scope
These Terms apply to all individuals who access or use the Site, including users, visitors, prospective clients, and clients. Robertson Stephens provides investment advisory and wealth management services pursuant to agreements entered into separately with clients. If you are a client of Robertson Stephens, your advisory agreement, account agreements, custodial agreements, and other applicable agreements will govern your relationship with Robertson Stephens. If there is any conflict between these Terms and a signed client agreement, the applicable client agreement will control. Certain areas of the Site may contain additional terms, disclosures, or agreements that apply to your use of those areas.
2. Site Access and Availability
We reserve the right to modify, suspend, restrict, or discontinue any portion of the Site at any time with or without notice. We do not guarantee that the Site will always be available, uninterrupted, secure, or error-free. You are responsible for obtaining and maintaining internet access and compatible devices, ensuring your devices have reasonable security protections, maintaining the confidentiality of your login credentials, and ensuring all authorized individuals accessing the Site through your connection comply with these Terms.
3. Client Portal and Account Security
Certain portions of the Site may require login credentials or authentication information. You are responsible for maintaining the confidentiality of your credentials, preventing unauthorized access, and all activities conducted through your account.

8. AI Assistant Disclosure
Robbie is an AI-powered assistant designed to provide general informational support and help you navigate our Site. You agree and acknowledge that:
- Robbie is not a financial advisor and does not provide personalized investment, tax, or legal advice
- AI-generated responses may not be accurate or complete and should not be relied upon for financial decisions
- Your conversations, interactions, and transcripts may be recorded and stored
- Chatbot conversations may be reviewed and used for customer support, training and quality assurance, and compliance requirements
9. Intellectual Property Rights
Robertson Stephens’ trademarks, trade names, logos, and other intellectual property incorporated into the Site are the sole property of Robertson Stephens or its licensors and are protected under copyright, trademark, trade secret, and other intellectual property laws. Copying or distributing any material, illustrations, photographs, videos, or content from the Site without our prior written consent is strictly prohibited. Additionally, any use that constitutes an infringement of any of the above-stated intellectual property rights is prohibited.
10. Prohibited Uses
You agree not to use the Site for any of the following:
- To violate applicable laws or regulations or for any unlawful purposes
- To introduce viruses, malware, or harmful code
- To interfere with Site operations
- To attempt unauthorized access
- To scrape data from the Site for training AI models, machine learning systems, or any commercial or business purpose
- To impersonate another individual
Robertson Stephens reserves the right to suspend or terminate your access if you violate these Terms.

By communicating with us electronically, including through email, online forms, text messages, client portals, or other electronic platforms, you acknowledge that electronic communications may not be secure or encrypted, may involve security risks, and may be retained as required by applicable law. Electronic signatures, confirmations, acknowledgments, or other electronic actions may constitute legally binding acceptance where permitted by applicable law.
12. Text Messaging and SMS Communications (Optional)
If you elect to receive text messages from us, you consent to receive communications at the telephone number you provide to us. Message and data rates may apply. We will provide you a means to opt out of marketing text messages.
13. Third-Party Links and Content
The Site may contain links to third-party websites, resources, market information, or service providers. Robertson Stephens does not control or assume responsibility for third-party websites, content, privacy practices, or information, including the accuracy or completeness of such information. ROBERTSON STEPHENS DOES NOT WARRANT THAT THE SITE WILL ALWAYS BE ACCURATE, COMPLETE, CURRENT, UNINTERRUPTED, OR ERROR-FREE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBERTSON STEPHENS, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE, INCLUDING DAMAGES RELATED TO LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, UNAUTHORIZED ACCESS, RELIANCE ON SITE CONTENT, OR THIRD-PARTY SERVICES.

You agree to defend, indemnify, and hold harmless Robertson Stephens and its affiliates, officers, employees, agents, and service providers from claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms and any other policies incorporated into these Terms.
18. Age Requirements
The Site is intended for individuals who are at least eighteen (18) years of age. By accessing or using the Site, you represent and warrant that you are at least 18 years old. Robertson Stephens does not knowingly collect information from individuals under the age of 18.
19. Governing Law and Dispute Resolution
These Terms shall be construed in accordance with and governed by the laws of the State of California, without reference to any principles of conflicts of law. Any dispute arising from these Terms or your use of the Site, at the discretion of the Company or as otherwise agreed with the applicable party, shall be submitted to arbitration administered by JAMS (Judicial Arbitration and Mediation Services), under its applicable rules, with arbitration held in San Francisco, California.
20. Severability
You may be located in different U.S. states and different countries. The laws applicable to you may vary. If any provision of these Terms is found unenforceable or inapplicable, the remaining provisions will remain in full force and effect.
21. Entire Agreement
These Terms, together with the Privacy Policy and any incorporated disclosures, constitute the entire agreement regarding your use of the Site and supersede prior understandings relating to the Site.
22. Changes to Terms
We reserve the right to modify, update, or replace these Terms at any time. The changes become effective when posted on the Site unless otherwise required by law. Please review these Terms periodically. Your continued use of the Site after updated Terms are posted constitutes your acceptance of the revised Terms.
